I. ACCEPTANCE OF TERMS

i. Welcome to PALS AUCTION, the website of Pals Auction House, office at [____________________________________] (“Company”/“We”/ “us”/“our”). These Terms of Use (the “Terms”) are intended to make the registered user (“Bidder”/”you”/”your”) aware of their legal rights and responsibilities with respect to their access and use of the Services on our website application www.palsauction.com and on multiple devices including but not limited to laptop, desktops, tablets and mobile phone (“Platform”). The purpose of the Platform is to list the products for e-auction (“Auctioned Item”) on the Platform which the Bidders registered on the Platform can bid for by way of using their Bid Wallet (“Services”). The highest bidder of the Auctioned Item shall be declared as the winner and can purchase the Auctioned Item at the final price that the bidder has bid for. The Bidder shall have the sole right to choose the Auctioned Item and the amount that they wish to bid for the chosen Auctioned Item. The Platform also has communication portals like chat and feedback through which the Bidder can communicate with the Platform (collectively, the “Services”).

ii. Please carefully read these Terms. By accessing or using the Platform, you are agreeing to these Terms and concluding a legally binding contract with [____________]. You may not use the Services if you do not accept the Terms or unable to be bound by the Terms. Your use of the Platform is at your own risk, including the risk that you might be exposed to content that is objectionable, or otherwise inappropriate.
iii. In order to use the Services, you must first agree to the Terms. You can accept the Terms by Clicking to “I Agree” to the Terms, where it is made available to you in the user interface.

II. IMPROTANT NOTICE AND CONDITIONS OF USE:

i. The Company is not involved in the manufacturing process or associated in any way with the manufactures or sellers of the Auctioned Item and therefore the Company does not take or assume any responsibility for any shortfall or defect or shortcoming in the Auctioned Item. The quantities, qualities, size or sizes, measurement, numbers and weights of the Auctioned Item as stated in the e-auction website and or in any other document are only approximate and the accuracy, adequacy, authenticity, correctness, fairness, and completeness of such information cannot be implied or guaranteed. No guarantee is being given regarding the quantity and fitness of the Auctioned Items for any particular purpose. The Auctioned Items are sold on the specific assumption that whether the bidders have inspected the Auctioned Items or not, the principle of caveat-emptor will apply. The sale of the Auctioned Item does not entail transfer of any title except the title which the Company had on the Auctioned Item as on date of transfer.

ii. All materials on the Platform are copyrighted and highly confidential and are provided solely for the purpose of providing the Service. The Bidder is not to use the material or information that it has access to in any manner without the prior permission of the owner of such information.

iii. The Bidder may not use any means, software’s techniques including data mining techniques or other automated devices or programs to catalog, download or otherwise reproduce, store, analyze or distribute content available on the Platform which shall be detrimental to the Platform and the owner of the Information. Further, the Bidders shall not use any such automated means to manipulate the Platform or attempt to exceed the limited authorization and access granted to you under these Terms and Conditions.

III. ACCESS AND USE OF INFORMATION:

i. The Information and Content uploaded and provided by You for the purpose of availing the Services of the Platform, including but not limited to your personal information and documents, may be transferred to, processed, maintained, and used on any device, computers, servers, and systems by third parties located outside of your state, province, country, or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction.

IV. ELIGIBILITY TO USE THE SERVICES

i. You hereby represent and warrant that you are at least eighteen (18) years of age or above and are fully able and competent to understand and agree the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms.

ii. Compliance with Laws. You are responsible for complying with all laws, guidelines and regulations when you access and use the Services. You agree to use the Services only in compliance with these Terms and applicable law, and in a manner that does not violate our legal rights or those of any third party(ies).

iii. The submission of the Bid means and implies that you have read carefully, and unconditionally and irrevocably agreed to and accepted all the terms and conditions laid herein.

V. CHANGES TO THE TERMS

i. The Company may vary or amend or change or update these Terms, from time to time entirely at our own discretion. The Company will be sending you a notification regarding change in the Terms. You shall be responsible for checking these Terms from time to time and ensure continued compliance with these Terms. Your use of Platform after any such amendment or change in the Terms shall be deemed as your express acceptance to such amended/changed terms and you also agree to be bound by such changed/amended Terms.

VI. REGISTRATION

i. In order to access and avail the Services provided by us in the Platform you will need to register an account with us. Your registration shall be deemed complete and you shall have access to the Platform subject to you providing all documents as required by the Platform and on scrutinization of the same. Your account is for your sole, personal use, you may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity. All registration information about you must be truthful, and you may not use any aliases or other means to mask your true identity. You are responsible for the security of your password and will be solely liable for any use or unauthorized use under such password. We have the rights to refuse Service to those who violate the Terms and Conditions to use this Platform. In such an event, we will be not be responsible for any losses that you may incur (monetary or otherwise).

ii. While registering with the Platform you represent and warrant that all information provided by you is true and accurate. In the event of any misrepresentation by you, we will have the sole right to take any legal actions against you and you shall indemnify and hold harmless us for any loss, harm, damages, damage to the reputations and legal costs and expenses or otherwise for any action or omission that shall be detrimental to our Platform.

iv. On your registration with the Platform, you shall have access to all the Items that are available for bidding via e-auction on our Platform. The bidding terms for each Auctioned Item shall also be specifically mentioned for each individual Item such as the time, processing fee, minimum bid value etc. You shall ensure that you understand and comply with the bidding terms of the Items before expressing your interest to bid for an Auctioned Item. If you have expressed interest in bidding for an Auctioned Item you shall pay a percentage of the fair value of the Auctioned Item as Processing Fee for conducting the auction which shall be non-refundable in nature. Apart from the Processing Fee, every time the Bidder wishes to bid for the Auctioned Item, the Bidder shall ensure that the equivalent sale consideration is added to his Bid Wallet.

v. The bidder shall be qualified to bid for the Auctioned Item only if the bid amount entered for the Auctioned Item corresponds to the balance available in the Bid Wallet as Bid Security.

vi. Where an Auctioned Item is not sold or the sale is not confirmed in favour of any bidder, for any reason, such bidder shall not be entitled to receive back any interest on the amount paid by the bidder towards the sale consideration. The bidder will be refunded the full amount paid as Bid Security without any interest. The bidder shall not be entitled to claim any compensation or damages, on any ground whatsoever, for the failure of selection of bidder or affiliated issues.

vii. The Bidder with the highest bid for the Auctioned Item shall be declared as the winner of the bid. In the event the time lapses on the bidding period, the last bidder with the highest bid shall be declared the winner of the bid for the Auctioned Item. The Auctioned Item shall then be delivered to the winner of the bid for the Auctioned Item through the company’s delivery partner.

viii. Each bidder should conduct his/her/their/its own investigations and analysis and should check the accuracy, adequacy, correctness, reliability and completeness of the assumptions, assessments, statements and information provided in relation to the Auctioned Items and any information provided earlier or subsequently and obtain independent advice from appropriate sources. No queries in this regard shall be entertained whether before or after the date of e-auction. The e-auction advertisement does not constitute and will not be deemed to constitute any commitment or any representation on the part of the Company. The Auctioned Items is being sold with all the existing and future encumbrances, whether known or unknown, to the Company. The Company, its affiliates, directors, shareholders, employees, officers, representatives, agents and professional advisors shall not be responsible in any manner whatsoever for any claims / rights / dues of the bidder, including any liability for any damages, whether direct or indirect, incidental, special or consequential including loss of revenue or profits. iii. Any error, misstatement or omission shall not be a ground for annulment of the sale and shall neither discharge the successful bidder(s) of his/her/their/its obligations nor entitle such successful bidder to claim any compensation whatsoever. The bidder shall be bound by the regulations of any central and local authority/body/person etc., whether statutory or otherwise, as may be applicable with regard to the Auctioned Items.

iv. Bidder is cautioned to be careful while entering his/her/their/its bid amount and to check for alteration, if any, before confirming the same. No request/complaint of wrong bidding will be entertained for cancelling the sale and in such case, any earnest deposit money/ Bid Security amount paid will be forfeited.

v. The successful bidder shall be required to bear/pay all expenses including, but without limitation, all duties, taxes, transfer fee, premium and /or other expenses/charges incidental thereto in connection with transfer/sale of Auctioned Item to the successful bidder.

vi. Where the Auctioned Item is the subject matter of any suit, application, proceedings or litigation (lis pendens) before any court, tribunal, forum or any other authority, the bidder shall not claim any compensation, damages, interest, etc., in the event a court, tribunal, forum or any other authority annuls the sale or holds / declares irregular or for that matter upsets any prior order / direction passed. The sale of the Auctioned Item in such an eventuality shall be subject to the outcome of such suit, application, proceedings or litigation whether filed before or after the date of opening the bids or before / after acceptance of the bid.

vii. The invalidity or unenforceability for any reason of any one or more terms or and conditions of sale shall not prejudice or affect the validity or enforceability of the other terms and conditions which shall continue in full force and effect.

viii. This invitation to bid is not an offer and is issued with no commitment. The Company reserves the right to withdraw the invitation to bid and change or vary any part thereof at any stage. The Company also reserves the right to disqualify any bidder, should it be so necessary at any stage. ix. A bidder who is found to canvass, influence or attempt to influence in any manner, the qualification or selection process, including without limitation, by offering bribes or other illegal gratification, shall be disqualified from the process at any stage.

x. Auctioned Item once sold will not be taken back under any circumstances. xi. The Company shall not be liable for any failure or delay in performance due to any reason / cause beyond the control of the Company, including but not limited to fires, floods, lock-out or lock downs, dispute with staff, disruption of normal working conditions, war, riots, epidemics, political upheavals, government action, civil commotion, breakdown of machinery including technical failures, shortage of labour or any other cause or condition beyond the control of the Company. Whether a cause exists or not and the consequence of such cause shall be at the sole discretion of the Company. The Company may, at its sole discretion, extend the time of performance on the part of the Company by such period as may be necessary to enable the Company to effect performance after the cause of delay. The aforesaid provision shall not be limited or abrogated by any other terms of contract whether oral or written.

xii. The Platform may contain links to other third party websites including but not limited to payment portals, advertisements of other websites, applications etc. When linking to those third party websites, bidders are subject to the terms posted by those third party websites, including any privacy policy. The Company shall not responsible for, nor does the company control, the content, products, or services provided by any linked third party websites. The Company shall not be responsible or held liable for any errors, negligence, technical issues, any commissions or omissions made by the third party. The Company does not endorse or guarantee the products, information, services, or recommendations provided by linked websites and are not liable for any failure of products or services advertised on those websites. In addition, each third party website may provide less security than we do and may have a substantively different privacy policy. The bidders should review the security and privacy policies of such third party websites. The bidders access, use, and reliance upon such content, products, or services are at their own risk.

VII. PROVISION OF THE SERVICES

i. The Company are constantly evolving in order to provide the best possible experience, information to its users. The bidders acknowledge and agree that the form and nature of the Services which we provide may require effecting certain changes in it, therefore we reserve the right to amend/ modify/ delete any of the terms and conditions as may be deemed necessary, without any notice to the bidder. The Company has the absolute right and discretion to accept or reject any bid or adjourn/postpone/cancel the sale/modify any terms and conditions of the sale without any prior notice and without assigning any reason.

ii. The bidder may be required to install certain upgrades or updates to the software in order to continue to access or use the Services, or portions thereof (including upgrades or updates designed to correct issues with the Services). Any updates or upgrades provided to you by us under the Terms shall be considered part of the Services.

iii. The bidder acknowledges and agree that if the company disables access to their account, the bidder may be prevented from accessing the Services, their account details or any files or other content, which is contained in their account.

iv. By using our Services you agree to the following disclaimer: The information and content contained in this Platform are information that the company collects from the users of the Platform and third parties only. While the company endeavour to keep the information and content up to date and correct, the company shall make no representations or warranties of any kind, express or implied, about the completeness, accuracy, errors, reliability, suitability or availability with respect to the Platform, content or information or services contained on the Platform for any purpose. Any reliance you place on such content or information is therefore strictly at your own risk. The company also reserve the right to not provide any reason for any actions or omissions in any manner while performing their obligations under the Terms. In the event you become aware of such inaccuracies, please inform us at [_____________] so that we can take the necessary action.

v. In no event will the Company be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data arising out of, or in connection with, the use of this Platform and the Services. vi. Every effort is made to keep the Platform up and running smoothly. However, the company shall take no responsibility for, and will not be liable for, the Platform being temporarily unavailable due to technical issues beyond their control.

vii. The Company reserve the right to charge any additional subscription and/or membership fees from a user and amend the same, by giving reasonable prior notice, in respect of any service or any other aspect of this Platform anytime in future.

viii. We also make the Platform available in other countries and states as well. Therefore it is your responsibility in ensuring that the Information provided by you does not infringe and is in compliance with the applicable laws of such state or country.

VIII. USE OF SERVICES BY YOU

i. You must create an account in order to use the Services and the features offered by our Platform. Use of any personal information you provide to us during the account creation process is governed by our Privacy Policy. You must keep your password confidential and you are solely responsible for maintaining the confidentiality and security of your account, all changes and updates submitted through your account, and all activities that occur in connection with your account.

ii. You are also responsible for all activities that occur in your account. You agree to notify us immediately of any unauthorized use of your account in order to enable us to take necessary corrective action. You also agree that you will not allow any third party to use your account for the purpose of transacting activities in your name on the Services. iii. By creating an account, you agree to receive certain communications in connection with the Platform or Services.

iv. You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines. We may disclose your Information and content uploaded by you and those that are saved in our servers to comply with applicable laws and legal process including from statutory authorities, law enforcement and government departments; protect us, our business or our users, to enforce our terms of service, prevent inappropriate or unwanted communications or spam and investigate or protect against fraud; Maintain the security of our services v. You agree to use the data owned by us only for personal use/purposes. vi. You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).

vii. You agree that while accessing the Services the requisite technical specifications including but not limited to those relating to storage, speed, internet connectivity and formats are adhered which may or may not be intimated by us in advance.

IX. CONTENT OWNERSHIP OF CONTENT AND PROPRIETARY RIGHTS

i. The company exclusively have all rights to any intellectual property associated with the Services and their content in the Platform, which may be protected by copyright, patent, trademark and other applicable intellectual property and proprietary rights and laws. The company acknowledge that the Services may contain original works of third parties and have been developed, compiled, prepared, revised, selected, and arranged by us and others through the expenditure of substantial time, effort, and money and constitutes valuable intellectual property of the Company and such others.

ii. You agree to protect our proprietary rights and the proprietary rights of all others having rights in our Platform during and after the term of this agreement and to comply with all reasonable written requests made by us and not limited to our agents, affiliates and licensors of content or otherwise to protect their and others’ rights in the Services. Unless you have agreed otherwise in writing with us, nothing in the Terms gives you a right to use any of our intellectual property including but not limited to copyrights, trademarks, logos, domain names, and other distinctive brand features.

iii. We have no responsibility towards the authenticity of the trademark/brand used in relation to the Auctioned Items. Each bidder is advised to conduct his/her/their/its own legal diligence towards continuing with the same name in the hands of the bidder. The Company should not be held responsible for any sort of claim on use of such trademark /brand and the Company hereby excludes any warranty, express or implied by any party on such trademark / brand name. No responsibility is taken by the Company regarding any implications on the future usage of such trademark / brand name.

iv. Any infringement shall lead to appropriate legal proceedings against you at appropriate forum for seeking all available/possible remedies under applicable laws..

v. You agree to immediately notify us upon becoming aware of any claim that the Services infringe upon any copyright trademark, or other contractual, intellectual, statutory, or common law rights.

X. YOUR LICENSE TO OUR CONTENT:

i. As between you and the Company, you own the content and information that you submit and upload on our Platform. We grant you a personal, limited, non-exclusive and non-transferable license to access and use the Platform and the Services only as expressly permitted in these Terms. You shall not use the Services for any illegal purpose or in any manner inconsistent with these Terms.

ii. Any violation by you of the license provisions contained in this Section may result in the immediate termination of your right to use the Services.

XI. COMPANY LICENSE TO YOUR CONTENT:

i. By submitting Your content (shall include Information and documents and other content uploaded by you), you hereby irrevocably grant us a perpetual, irrevocable, world-wide, non-exclusive, royalty-free, sub-licensable and transferable license and right to use Your content for the purposes mentioned in our Privacy Policy. You grant us the right to use the name or username that you submit in connection with Your content. You irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to Your content brought against us, any third party Services and our and their users.

ii. We may assign or transfer our agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer.

XII. REPRESENTATIONS REGARDING YOUR OR USER CONTENT:

i. You are responsible for Your content. You represent and warrant that you are the own, or otherwise control all of the rights of Your content; use of Your content by us, third party services will not violate or infringe any rights of yours or any third party; your content is truthful and accurate; and Your content does not violate the Terms or any applicable laws.

ii. You assume all risks associated with Your content, including anyone's reliance on its quality, accuracy, or reliability, or any disclosure by you of information in Your content that makes you personally identifiable.

ii. Privacy Policy

You represent that you have read understood and agreed to our Privacy Policy. Please note that we may disclose information about you to third parties or government authorities if we believe that such a disclosure is reasonably necessary to (i) take action regarding suspected illegal activities; (ii) enforce or apply our Terms and Privacy Policy; (iii) comply with legal process or other government inquiry, such as statute, judicial proceeding, or other legal process/notice served on us; or (iv) protect our rights, reputation, and property, or that of our users, affiliates, or the general public.

XIV. RESTRICTIONS ON USE

i. Without limiting the generality of these Terms, in using the Services, you specifically agree not to engage in any activity that, in our sole discretion

a) Violate our Terms of Use and Privacy Policy;

b) Is illegal, or violates any law including but not limited to regulation, guidelines and orders of any competent authority.

c) Distributes computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of any computer software or hardware or electronic communications equipment;

d) Interferes with, disrupts, or destroys the functionality or use of any features of the Services or the servers or networks connected to the Services;

e) Threatens the unity, integrity, defence, security or sovereignty of the country of use, friendly relations with foreign states, or public order or causes incitement to the commission of any offence or prevents investigation of any offence or is insulting any other nation; or f) Modifies, copies, displays, publishes, licenses, sells, rents, leases, lends, transfers or otherwise commercialize any rights to the Services;

ii. You hereby agree and assure us that the Platform/ Services shall be used for lawful purposes only and that you will not violate laws, regulations, ordinances or other such requirements of any applicable Laws.

iii. Any Content and Information uploaded by you, shall be subject to applicable laws of the country where the content has uploaded or has been received by us. Further, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Platform, we shall have the right to immediately block your access and usage of the Platform and we shall have the right to remove any non-compliant content and or comment forthwith, and shall further have the right to take appropriate recourse to such remedies as would be available to it under various statutes.

XV. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, AND INDEMNIFICATION ALL AUCTIONED ITEMS ARE BEING E-AUCTIONED AND SOLD ON “AS IS WHERE IS BASIS”, “AS IS WHAT IS BASIS”, “WHATEVER THERE IS BASIS” AND “WITHOUT RECOURSE BASIS”, AS SUCH SALE AND THAT YOUR USE OF THE PLATFORM AND THE SERVICES SHALL BE AT YOUR SOLE RISK IS WITHOUT ANY KIND OF REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED AND INDEMNITIES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL MAKE NO WARRANTIES OR REPRESENTATIONS THAT THE SERVICES HAVE BEEN AND WILL BE PROVIDED WITH DUE SKILL, CARE AND DILIGENCE OR ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND ASSUME NO RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) ANY LOSSES, COSTS AND EXPENSES RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (V) ANY VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES THROUGH THE ACTIONS OF ANY THIRD PARTY, AND/OR (VI) ANY LOSS OF YOUR DATA OR CONTENT FROM THE SERVICES.

THE COMPANY MAKES NO WARRANTY OR REPRESENTATION REGARDING THE PURCHASED AUCTIONED ITEMS BY THE BIDDER FROM THE PLATFORM. THE COMPANY DOES NOT HAVE ANY RESPONSIBILITY FOR THE TIMELY DELIVERY OF THE SERVICES, ACCURACY, DELETION, FAILURE TO USE ANY INFORMATION PROVIDED, NEGLIGENCE OF THE MANUFACTURER OR AUTHORIZED SELLER OF THE AUCTIONED ITEM ETC. ANY MATERIAL OR CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICES OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. UNLESS YOU HAVE BEEN EXPRESSLY AUTHORIZED TO DO SO IN WRITING BY THE COMPANY, YOU AGREE THAT IN USING THE SERVICES, YOU WILL NOT USE ANY TRADE MARK, SERVICE MARK, TRADE NAME, LOGO FROM OUR SERVICE IN A WAY THAT IS LIKELY OR INTENDED TO CAUSE CONFUSION ABOUT THE OWNER OR AUTHORIZED USER OF SUCH MARKS, NAMES OR LOGOS. SOME OF THE SERVICES MAY BE SUPPORTED BY ADVERTISING REVENUE AND MAY DISPLAY ADVERTISEMENTS AND PROMOTIONS. THE COMPANY WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY ERROR OR OMISSION, INACCURACY IN ADVERTISING MATERIAL OR ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS A RESULT OF ANY SUCH DEALINGS OR AS A RESULT OF THE PRESENCE OF SUCH OTHER ADVERTISER(S) ON THE PLATFORM AND MOBILE APPS.

XVI. INDEMNIFICATION

i. You agree to indemnify, defend, and hold us harmless from and against any third party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs and expenses (including legal costs and fees) suffered or reasonably incurred by us arising as a result of, or in connection with: (i) Your information, (ii) your unauthorized use of the Services; (iii) your access to and use of the Services; (iv) your violation of any rights of another party; or (v) your breach of these Terms, including, but not limited to, any infringement by you of the copyright or intellectual property rights of the Company or any third party.

XVII. TERMINATION OF YOUR ACCESS TO THE SERVICES i. We may terminate your use of the Services and deny you access to the Services in our sole discretion for any reason or no reason, including your: (i) violation of these Terms; or (ii) lack of use of the Services. You agree that any termination of your access to the Services may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and/or bar any further access to your account or the Services. If you use the Services in violation of these Terms, we may, in our sole discretion, retain all data collected from your use of the Services. Further, you agree that we shall not be liable to you or any third party for the discontinuation or termination of your access to the Services.

XVIII. GENERAL TERMS

i. Entire Agreement and Waiver: The Terms, together with the ‘Privacy Policy’ and ‘Terms of Use’, shall constitute the entire agreement between you and us concerning the Services. No failure or delay by us in exercising any right, power or privilege under the Terms shall operate as a waiver of such right or acceptance of any variation of the Terms and nor shall any single or partial exercise by either party of any right, power or privilege preclude any further exercise of that right or the exercise of any other right, power or privilege.

ii. Severability: If any provision of these Terms is deemed unlawful, invalid, or unenforceable by a judicial court for any reason, then that provision shall be deemed severed from these Terms, and the remainder of the Terms shall continue in full force and effect.

iii. Partnership or Agency: None of the provisions of these Terms shall be deemed to constitute a partnership or agency between you and the Company and you shall have no authority to bind us in any form or manner, whatsoever. iv. Governing Law: All disputes shall be internally resolved within 3 (Three) months of the complaint by either party. In the event the disputes are not resolved internally, any claim, dispute or difference arising between the bidder/purchaser and Seller in connection with the terms and conditions hereof or anything done or omitted to be done pursuant hereto shall be referred/subject to the exclusive jurisdiction of the courts in ________ v. This document has not been filed, registered or approved and will or may not be filed, registered, reviewed or approved by any statutory or regulatory authority in India or any other jurisdiction.

vi. Carrier Rates may Apply: By accessing the Services through a mobile or other device, you may be subject to charges by your Internet or mobile service provider, so check with them first if you are not sure, as you will be responsible for any such costs.
